1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legal agreement between you ("User," "Customer," or "you") and WP Bros ("Company," "we," "us," or "our"), governing your access to and use of our website (wpbros.dev) and all services offered therein, including but not limited to WordPress hosting, marketplace products, and professional services.
By accessing, browsing, or using WP Bros services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.
2. Eligibility and Account Registration
2.1 Legal Capacity
By using WP Bros services, you represent and warrant that:
- You are at least 18 years of age or the age of majority in your jurisdiction
- You have the legal capacity to enter into binding contracts
- You are not prohibited by law from using our services
- All information provided is truthful, accurate, and complete
2.2 Account Creation and Management
To use certain WP Bros services, you must create an account and provide accurate information. You agree to:
- Maintain the confidentiality of your login credentials
- Take responsibility for all activities under your account
- Notify us immediately of unauthorized account access
- Update your information as needed to keep it current
- Not share your account with unauthorized third parties
2.3 Account Termination
WP Bros reserves the right to suspend or terminate your account if you violate these Terms or engage in fraudulent or illegal activity. Account termination may result in loss of data, websites, and services without refund in cases of violation.
3. Services Offered
3.1 WordPress Hosting Services
WP Bros provides managed WordPress hosting services including:
- Server resources (CPU, RAM, storage, bandwidth)
- Automatic WordPress updates and security patches
- Daily automated backups
- SSL/TLS certificates
- Technical support (as per Support Policy)
3.2 Marketplace Products
Our marketplace offers WordPress themes, plugins, templates, and other digital products for purchase. Marketplace products are subject to the license terms specified at the time of purchase.
3.3 Professional Services
We offer consulting, setup, migration, development, and other professional services. The scope and terms of professional services are outlined in separate service agreements.
3.4 Service Modifications
WP Bros reserves the right to modify, suspend, or discontinue services at any time with reasonable notice. Material changes will be communicated via email or prominent website notice at least 30 days in advance when possible.
4. Fees and Payment
4.1 Pricing
All prices are displayed in GBP (British Pounds) unless otherwise specified. Prices are subject to change with 30 days' notice. Changes will not affect existing active subscriptions for the current billing period.
4.2 Payment Terms
- Hosting services are billed on annual, semi-annual, or monthly cycles as selected
- Marketplace products are billed at point of purchase
- Payment is due in advance for hosting renewals
- Failed payments may result in service suspension after 10 days
4.3 Accepted Payment Methods
We accept credit cards (Visa, Mastercard, American Express), debit cards, bank transfers, and PayPal. All payment processing is handled by PCI-DSS compliant third-party processors.
4.4 Billing and Invoices
Invoices are provided electronically via your account dashboard and email. You agree to receive invoices in digital format. Invoices are due upon receipt unless otherwise specified.
4.5 Taxes
You are responsible for all applicable taxes unless you provide a valid tax exemption certificate. WP Bros will charge and remit VAT/GST as required by UK and international tax laws.
5. Intellectual Property Rights
5.1 WP Bros Intellectual Property
All content, design, functionality, and materials on wpbros.dev, including but not limited to text, graphics, logos, and software, are the exclusive property of WP Bros or its licensors and are protected by copyright, trademark, and other intellectual property laws.
5.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to use WP Bros services solely for your personal or business purposes in accordance with these Terms. You may not:
- Reproduce, modify, or distribute WP Bros content without permission
- Use our intellectual property for commercial purposes without authorization
- Remove or alter copyright, trademark, or other IP notices
- Reverse engineer or attempt to extract source code
5.3 Your Content
You retain ownership of content you create, upload, or publish through WP Bros services ("Your Content"). By using our services, you grant WP Bros a limited license to:
- Host and serve Your Content
- Create necessary backups
- Display Your Content on our servers and through CDN partners
- Analyze Your Content for security and performance optimization
You are solely responsible for Your Content and warrant that it does not infringe third-party rights.
5.4 Third-Party Content
WP Bros marketplace products and third-party integrations are subject to their respective licenses and terms. Review the license for each product before purchase or installation.
6. Hosting Services Terms
6.1 Service Level Agreement (SLA)
WP Bros commits to 99.9% uptime for hosting services, measured monthly. This excludes scheduled maintenance and events beyond our reasonable control.
6.2 Scheduled Maintenance
We perform regular maintenance windows, typically communicated with at least 7 days' notice. Maintenance may cause temporary service unavailability.
6.3 Backup Policy
- Automated backups are performed daily
- Backups are retained for 30 days
- Backups are stored in geographically dispersed locations
- Restoration requests may incur additional fees if performed more than monthly
- WP Bros is not liable for data loss if backups are deleted by the user
6.4 Resource Limits
Each hosting plan includes specified CPU, RAM, storage, and bandwidth allocations. Exceeding these limits may result in:
- Service throttling or suspension
- Requirement to upgrade to a higher-tier plan
- Additional overage charges as published in our pricing schedule
6.5 Security Responsibilities
While WP Bros provides security infrastructure, you are responsible for:
- Keeping WordPress, plugins, and themes updated
- Using strong passwords for all accounts
- Installing reputable security plugins
- Regular security audits of Your Content
- Implementing application-level security measures
7. Marketplace Terms
7.1 Product Listing
WP Bros curates marketplace products but does not warrant their quality, compatibility, or fitness for particular purposes. Users are responsible for reviewing product descriptions, ratings, and documentation before purchase.
7.2 License Terms
Marketplace products are licensed under terms specified in the product listing. Common licenses include:
- Single-Site License: Use on one domain only
- Multi-Site License: Use on multiple domains (as specified)
- Developer License: Use on development and staging environments
- Reseller License: Redistribution rights with conditions
7.3 Product Support and Updates
Product creators provide support and updates. WP Bros is not responsible for compatibility issues, bugs, or discontinued products. Review the product support policy before purchase.
7.4 Digital Products Disclaimer
Due to the nature of digital products, most items are non-refundable once downloaded. See our Refund Policy for exceptions and specific terms.
8. Prohibited Conduct
8.1 Illegal Activities
You may not use WP Bros services for any illegal purpose, including but not limited to:
- Distributing illegal content or materials
- Facilitating fraud, extortion, or money laundering
- Selling counterfeit or stolen goods
- Operating unauthorized financial services
- Child exploitation or illegal adult content
- Drug trafficking or weapons sales
8.2 Technical Restrictions
You may not:
- Attempt to gain unauthorized access to WP Bros systems
- Introduce malware, viruses, or malicious code
- Perform denial-of-service attacks
- Engage in port scanning or vulnerability testing without permission
- Reverse engineer or extract WP Bros source code
- Bypass security measures or access controls
8.3 Content Restrictions
You may not publish content that:
- Infringes copyright, trademark, or intellectual property rights
- Defames, harasses, or threatens individuals
- Promotes discrimination based on protected characteristics
- Contains extreme violence or graphic content (except in clearly marked contexts)
- Constitutes spam or phishing
- Violates export controls or sanctions
8.4 Resource Abuse
You may not:
- Use services for crypto mining or similar high-resource activities without explicit permission
- Send excessive automated requests (scraping, crawling, or API abuse)
- Resell or share hosting resources with unauthorized parties
- Use services as a proxy for activities you cannot perform on your own infrastructure
9. Limitation of Liability
9.1 Disclaimer of Warranties
WP Bros services are provided "as is" without warranty of any kind. We disclaim all express, implied, and statutory warranties, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose
- Warranties regarding security, reliability, or uninterrupted service
- Warranties that services will meet your requirements
- Warranties regarding third-party products or services
9.2 Liability Caps
Except where prohibited by law, WP Bros' total liability to you for any claims arising from these Terms shall not exceed the fees you paid in the 12 months preceding the claim. This applies to all theories of liability, including contract, tort, warranty, and strict liability.
9.3 Excluded Damages
Under no circumstances shall WP Bros be liable for:
- Indirect, incidental, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunity
- Costs of substitute services or goods
- Damage to reputation or brand
This limitation applies even if WP Bros has been advised of the possibility of such damages.
9.4 User Responsibility
You are responsible for:
- Maintaining regular backups of Your Content
- Verifying data recovery procedures
- Implementing appropriate security measures
- Testing disaster recovery procedures
10. Indemnification
You agree to indemnify, defend, and hold harmless WP Bros, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms
- Your violation of applicable laws or third-party rights
- Your Content or its use
- Your use of WP Bros services
- Claims by third parties related to your account
11. Termination and Suspension
11.1 Termination by User
You may terminate your hosting account at any time via your account dashboard. Upon termination:
- Your websites will be taken offline
- Your data will be deleted after 30 days unless exported
- No refunds are provided for unused portions of the billing period (except as per Refund Policy)
11.2 Suspension by WP Bros
WP Bros may suspend or terminate your account immediately if you:
- Violate these Terms or our Acceptable Use Policy
- Engage in illegal activity
- Fail to pay invoices after 30 days of notice
- Cause security risks or abuse our infrastructure
- Receive multiple abuse reports
11.3 Data Access After Termination
Upon account termination, we provide a grace period to export your data (typically 30 days). After this period, your data may be permanently deleted. WP Bros is not responsible for data loss after termination.
12. Governing Law and Jurisdiction
12.1 Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
12.2 Jurisdiction and Venue
Both parties consent to the exclusive jurisdiction of the courts of England and Wales for any legal proceedings related to these Terms or our services.
12.3 Dispute Resolution
Before initiating legal proceedings, we encourage you to contact our support team to resolve disputes. We may suggest mediation or arbitration as alternatives to litigation.
13. Modifications to Terms
WP Bros reserves the right to modify these Terms at any time. Changes become effective upon publication to our website. For material changes, we will provide at least 30 days' notice via email or prominent website notice. Your continued use of services after changes indicates acceptance of the modified Terms.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms. All other provisions remain in full force and effect.
15. Entire Agreement
These Terms, along with our Privacy Policy, Refund Policy, and Support Policy, constitute the entire agreement between you and WP Bros regarding your use of our services and supersede all prior agreements and understandings.
